THIS AGREEMENT DESCRIBES THE TERMS AND CONDITIONS PURSUANT TO WHICH TGN, INC., AND/OR ITS LICENSEES (COLLECTIVELY, "TGN") PROVIDE YOU WITH ACCESS TO AND USE OF THE GAMETAP PROPRIETARY ELECTRONIC ENTERTAINMENT SERVICE (THE "SERVICE") WHICH INCLUDES, WITHOUT LIMITATION, THE
http://WWW.GAMETAP.COM WEBSITE, AFFILIATED WEBSITES, AND ALL INTERNAL WEBPAGES THEREIN, CERTAIN SOFTWARE APPLICATIONS (COLLECTIVELY, THE "CLIENT APPLICATION"), AND OTHER ENTERTAINMENT CONTENT, SUCH AS VIDEO GAMES AND OTHER AUDIO-VISUAL CONTENT (COLLECTIVELY, THE "ENTERTAINMENT CONTENT"). By Clicking the 'I Accept' button confirms that you have read and accepted the GameTap Agreement, AND IN THE EVENT YOU HAVE CHOSEN A GOLD PLAN, OR TO RENT OR PURCHASE A GAME, authorizes GameTap to charge THE APPLICABLE AMOUNT TO THE CREDIT CARD YOU HAVE SUBMITTED. For information on how to cancel your membership, visit GameTap Customer Service.
1. Registration.
Before you are provided access to the Service, you may be required to submit information on GameTap's registration forms. You represent and warrant that (a) you have reached the age of legal majority, and (b) that the information that you provided in the registration form (including, but not limited to, credit card, email, and billing information) is current, complete and accurate. You agree to maintain and promptly update your information so that it remains current, complete and accurate. You understand and agree that, at the time of registration, and from time to time when you interact with TGN and the Service, TGN may review and assess your system configuration to better support your gaming experience and use of the Service.
2. User Name and Password.
Upon completion of the registration process, you will be assigned a user name and password with which to access and use the Service, and you may be assigned additional user names and passwords for any sub-accounts that you choose to create. You may only create sub-accounts for individuals residing in your household. You acknowledge that your agreement to the terms and conditions of this Agreement is on behalf of any person to whom access to and use of the Service is afforded through the sub-accounts that you create, as well as on your own behalf, and you represent that you are authorized to bind such persons to this Agreement. You are responsible for any access to or use of the Service that is made with the user names and passwords assigned to you, regardless of whether you authorized such access or use. You are responsible for protecting your user names and passwords from any unauthorized use. If you believe someone has accessed the Service using any of your user names and passwords without your authorization, you must notify TGN at 1-866-722-5295 or
http://kb.gametap.cust-serv.com/gametapkb, or via other means of communication made available to you within the Service. You may not assign your user names and passwords to anyone other than sub-account holders residing in your household, and any attempted assignment is void.
3. Use of the Service.
You agree to use the Service in accordance with this Agreement, and all applicable laws, rules and regulations. You agree not to use the Service in any way that violates the rights of others (including, but not limited to, copyrights and other intellectual property rights, and rights of privacy and publicity), that is inconsistent with community standards, which shall be determined by TGN in its sole discretion, or in any way that may give rise to liability for TGN, its affiliates, or their respective directors, officers, employees, agents, service providers, suppliers or licensors, including, without limitation, by creating, displaying or transmitting on or through the Service any content that may violate such rights of others or that may give rise to such liability. The following are examples of the types of content or use that are prohibited under this Agreement:
* Any content or use that is offensive to the online community, such as content that promotes racism, bigotry, obscenity, pedophilia, hatred or physical harm of any kind against any group or individual;
* Any content or use that harasses or advocates harassment of another person;
* Any use that involves the transmission of "junk mail," "chain letters," or unsolicited mass e-mailing or "spamming";
* Any content that promotes information that is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
* Any content that infringes upon or violates any third party's rights (including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, e-mail address, physical address or phone number) or rights of publicity;
* Any content that promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacturer-installed copy-protect devices, or providing pirated music or links to pirated music files;
* Any content that contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page);
* Any content that provides material that exploits people in a sexual or violent manner, or solicits personal information from anyone under 18;
* Any content that provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
* Any content that contains video, photographs, or images of another person without his or her permission (or in the case of a minor, the minor's legal guardian);
* Any content or use that tries to gain unauthorized access to the Service, the Site, profiles, blogs, chat rooms, communities, account information, bulletins, or other aspects of the Service or solicits passwords or personal identifying information for commercial or unlawful purposes from other users;
* Any content or use that engages in commercial activities or sales without TGN's prior written consent such as, without limitation, contest, sweepstakes, barter, sales advertising and pyramid schemes;
* Any content or use that solicits gambling or engages in any gambling or similar activity;
* Any content that contains viruses, time bombs, trojan horses, cancelbots, worms or any other harmful, disruptive creations, components or devices, or any technology used to circumvent TGN's, or its affiliates' security measures;
* Any content or use that interferes with another user's use and enjoyment of the Service or any other individual's user and enjoyment of similar services; or
* Any content that refers to any website or URL that, in the sole discretion of TGN, contains material that is inappropriate for the Service or the Site, contains content that would be prohibited on the Service or the Site, or violates the letter or spirit of the GameTap Agreement or the Privacy Policy.
* You may not create any links to the Service without the express consent of TGN.
You may not use or access the Service, or any part thereof, or any computer systems used to provide the Service other than in authorized territories, and other than in accordance with this Agreement. Without limiting the foregoing, you may not (i) modify, create derivative works from, adapt or translate any part of the Service; (ii) reverse engineer, decompile, circumvent security measures, or disassemble any part of the Service; (iii) offer for sale, sell, distribute, re-distribute, assign, rent, lease, sublicense or otherwise transfer any part of the Service, or your user name and/or password, including the user names and/or passwords associated with your sub-accounts; (iv) duplicate, reproduce or copy any part of the Service without TGN express consent; or (v) use the Service for any commercial purpose. Upon cancellation or termination of your membership, you must uninstall and erase any and all copies of the Service unless otherwise expressly authorized by TGN.
User Generated Content.
You are responsible for any content, messages, opinions, ideas, photos, images, videos, profiles or other information that you create, transmit or display on or through the Service, or that is created, transmitted, or displayed via your account or sub-accounts (collectively, "User Content"). By transmitting or displaying User Content on or through the Service, you grant TGN and its affiliates and licensors an irrevocable, perpetual, non-exclusive, worldwide right and license to use, reproduce, publicly perform, publicly display, distribute copies and create derivative works of the User Content in any media now known or hereafter devised, and to grant and authorize sublicenses under the foregoing right and license without any compensation to you. You represent and promise that you own all copyrights and other intellectual property rights in the User Content, or otherwise have the right to grant the foregoing right and license. You agree that TGN may review, edit and delete any User Content which, in the sole judgment of TGN, violates this Agreement.
Solely as and to the extent you are expressly authorized by TGN or its affiliates or licensors to create User Content which incorporates or is in any way based on intellectual property owned by TGN or its affiliates or licensors solely for use within the Service (e.g., within a massively multi-player game), as a condition of such authorization, you hereby assign to TGN all your intellectual property rights (including without limitation, all copyrights, trademarks, patent rights, legally protectable ideas, and rights of publicity or privacy) in such User Content. In the event such assignment is not recognized or given effect under the law, you hereby grant TGN and its affiliates and licensors an irrevocable, perpetual, exclusive, worldwide right and license to use, reproduce, publicly perform, publicly display, distribute copies and create derivative works of such User Content in any media now known or hereafter devised, and to grant and authorize sublicenses under the foregoing right and license without any compensation to you. The foregoing shall not be deemed to authorize any User Content based on intellectual property owned by TGN, its affiliates or licensors, limit any restrictions contained in this Agreement or otherwise limit any rights or remedies of TGN, its affiliates or licensors.
5. Fees and Payments.
(A) Membership Plans: In the event you choose to purchase a "gold" level membership plan, or any other plan TGN advertises as requiring payment, in exchange for access to such plan, you hereby authorize TGN to charge your credit card the membership fee (including any applicable taxes) associated with the plan you have chosen (the "Plan"). Unless you have agreed otherwise on the registration form or with TGN's authorized customer representative, your Plan shall be one of the following set forth below:
(1) "Monthly Plan" - US $9.95 for one month of access, billed monthly;
(2) "3-Month Plan" - US $26.85 for three months of access, billed every three months;
(3) "6-Month Plan" - US $47.70 for six months of access, billed every six months;
(4) "Annual Plan" - US $83.40 for twelve months of access, billed every twelve months; or
(5) "Special Plan" - the membership fee and the billing period set forth in the registration form for the special offer you have accepted shall apply to this Plan.
TGN will bill your credit card the membership fee of the Plan you have chosen (plus any applicable taxes) on the day you chose to pay for full access to the Service (or, in the event your Plan includes a free trial, the first day following the end of your free trial, or pre-paid, period) or a reasonable time thereafter, and will charge your credit card on a reoccurring basis pursuant to the terms of the Plan you have chosen, unless you cancel your membership before the next billing period. IF YOUR PLAN INCLUDES A FREE TRIAL OR PREPAID PERIOD, YOU MUST CANCEL YOUR MEMBERSHIP PRIOR TO THE END OF YOUR FREE TRIAL OR PRE-PAID PERIOD TO AVOID HAVING YOUR CREDIT CARD CHARGED. The membership fee is due and payable in U.S. dollars, subject to any exchange rate that a credit card company or other financial institution may apply. Please note that charges to your credit card may be in the name of GameTap, TGN, Inc., or its affiliated companies. If there is any change in the information concerning your credit card (e.g., if you wish to use a different credit card or if your credit card has a new expiration date), you must notify TGN by email or chat via the webpage located at
http://kb.gametap.cust-serv.com/gametap ... erview.asp or by calling +1-866-722-5295 (you are responsible for long distance charges, if any) or by updating your account information as provided within the Service or on related websites controlled by TGN. If a charge to your credit card is denied for any reason, TGN shall have the right to terminate or suspend your membership and your access to the Service. All payments are non-refundable. The Client Application is provided to you free of charge.
(B) Rental or Purchase of Entertainment Content: In the event you choose to purchase or rent Entertainment Content made available via the Service, you hereby authorize TGN to charge your credit card the fee (including any applicable taxes) associated with such Entertainment Content, as set forth in the Service, or on the associated website. If a charge to your credit card is denied for any reason, TGN shall have the right to deny, terminate or suspend your access to the Entertainment Content or the Service generally without notice. Without limiting the foregoing, TGN shall also have the right to deny, terminate, or suspend your access to Entertainment Content or the Service generally for any reason, to be determined in TGN's sole discretion. All payments are non-refundable, including, without limitation, in the event that you are not able to access or use Entertainment Content you have rented or purchased due to technical reasons, interruptions in your internet access, or computer failures (software or hardware).
(C) Virtual Currency: In the event you choose to purchase "points" "tokens" or other in-game fictional currency (for the purposes of this Agreement only, such items shall be collectively referred to as "Fictional Currency") for use to make "micro-payments" within particular Entertainment Content offerings, you hereby authorize TGN to charge your credit card the fee (including any applicable taxes) associated with the type and amount of Fictional Currency you select, as set forth in the Service, or on the associated websites. All payments are non-refundable. If a charge to your credit card is denied for any reason, TGN shall have the right to deny, terminate or suspend your access to, or use of, such Fictional Currency. Regardless of the name used to identify Fictional Currency, you understand and agree that all such Fictional Currency represent a limited license right to receive virtual goods and services within the Service and are governed solely under the terms of this Agreement and are not redeemable for any sum of money or monetary value from TGN, or any of its licensors or affiliated companies. You understand and agree that TGN has the absolute right to manage, regulate, control, modify, create and/or eliminate Fictional Currency as it sees fit in its sole discretion, in any general or specific case, and that TGN shall have no liability to you based on its exercise of such right. You understand and agree that unless otherwise authorized by TGN, Fictional Currency may only be used in the specific Entertainment Content offerings associated with such Fictional Currency, and in no event may such Fictional Currency be used outside of the Service. In the event that you cancel or TGN terminates your access to the Service, or the specific Entertainment Content associated with the Fictional Currency, you understand and agree that the Fictional Currency (and all associated value) shall automatically revert back to TGN and you shall no longer have any right to use, or be compensated for, such Fictional Currency (or any associated value therein). In the event such reversion is not fully recognized or given effect under the law, then, in the case of cancellation or termination, you hereby agree to transfer and assign all remaining Fictional Currency associated with your account (including all sub-accounts) to TGN.
6. Cancellation of Service.
Your membership will continue and renew automatically unless terminated or cancelled in accordance with this Agreement. You may cancel your membership at any time by notifying TGN at 1-866-722-5295. Your cancellation will be effective at the end of the billing period during which you notify TGN of your cancellation. In addition, TGN reserves the right to discontinue the Service at any time for any reason without notice or explanation. Upon termination of your membership, or the Service generally, you will not be charged for any subsequent renewal terms. In addition, TGN may suspend or terminate your membership and access to the Service immediately without notice if TGN determines in its sole discretion that you are in violation of this Agreement. The suspension or termination of your membership, and the forfeiture of any membership fees, is in addition to, and not in lieu of, any rights and remedies available to TGN under this Agreement or under applicable laws.
Your membership will continue and renew automatically unless terminated or cancelled in accordance with this Agreement. You may cancel your membership at any time by notifying TGN via telephone at 1-866-722-5295, or via chat, which is available at the webpage:
http://kb.gametap.cust-serv.com/gametap ... erview.asp or via other interactive cancellation methods TGN specifically provides as part of the Service. You may not cancel via email. Your cancellation will be effective at the end of the billing period during which you notify TGN of your cancellation. TGN reserves the right to discontinue your membership, or the Service, at any time for any reason without notice or explanation. In addition and without limitation, TGN may suspend or terminate your membership and access to the Service immediately without notice if TGN determines in its sole discretion that you are in violation of this Agreement. The suspension or termination of your membership, and the forfeiture of any membership fees, and reversion/transfer of all Fictional Currency is in addition to, and not in lieu of, any rights and remedies available to TGN under this Agreement or under applicable laws. Upon termination of your membership, or the Service generally, you will not be charged for any subsequent renewal terms.
7. Intellectual Property Rights.
Subject to the terms and conditions of this Agreement, TGN grants you the limited, personal, non-exclusive, non-transferable, revocable right and license to (i) access the
http://www.gametap.com website, or other websites affiliated with the Service, to download the Client Application in accordance with the instructions provided and to view and interact with the Entertainment Content provided therein; (ii) install and use the Client Application on your personal computer solely for the purpose of accessing and using the Service and the Entertainment Content; and (iii) access and use the Service and Entertainment Content, and exchange information and data through the Service, using your personal computer in the manner described in the Client Application. Except for the right and license expressly granted in this paragraph, no right or license is granted by implication, estoppel or otherwise, and TGN and its licensors reserve all right, title and interest in and to the Service, Client Application, and Entertainment Content, the websites through which the Service is provided, all information and data provided through the Service, any trademarks, service marks and logotypes appearing in the Service, Client Application or Entertainment Content (including, without limitation, all characters, graphics, illustrations, images, text, audio/video, ideas, and means of character interaction), and the network and server infrastructure (including all related software) utilized to operate or provide any of the foregoing, including, but not limited to, any changes, modifications, improvements or corrections to them or derivative works of them, all related technology, any rights under copyright, patent, trademark, service mark, or trade dress (whether or not any of these are registered), any proprietary rights in trade secrets, know-how, designs or databases, and any right or form of protection similar to any of the foregoing existing anywhere in the world. Without limiting the foregoing, "GameTap" and the GameTap logo are trademarks of TGN, Inc. or its affiliates, and any use of such trademarks shall inure to the benefit of TGN or its affiliates. In addition, you disclaim any proprietary rights that you may have in any information or data that may be collected through your use of the Service, the Client Application or the Entertainment Content.
8. Digital Millennium Copyright Act.
TGN respects the rights of all copyright holders and in this regard, TGN has adopted and implemented a policy that provides for the termination in appropriate circumstances of subscribers and account holders who infringe the rights of copyright holders. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide TGN's Copyright Agent the following information required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, 17 U.S.C. 512:
* A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
* Identification of the copyright work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
* Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
* Information reasonably sufficient to permit us to contact the complaining party;
* A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
* A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

9. Disclaimer of Warranty.
TGN PROVIDES THE SERVICE, CLIENT APPLICATION AND GAME CONTENT ON AN "AS IS" BASIS. NEITHER TGN, ITS AFFILIATES, NOR THEIR RESPECTIVE SERVICE PROVIDERS, SUPPLIERS OR LICENSORS MAKE ANY REPRESENTATION OR WARRANTY, EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE SERVICE, CLIENT APPLICATION, GAME CONTENT, ANY INFORMATION OR DATA PROVIDED IN CONNECTION THEREWITH, OR ANY OTHER GOODS OR SERVICES PROVIDED BY ANY SUCH PARTY, INCLUDING, BUT NOT LIMITED TO, (A) ANY WARRANTY AS TO CONDITION, QUALITY, AVAILABILITY, DURABILITY, PERFORMANCE, ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY, (B) ANY WARRANTY THAT THE SERVICE, CLIENT APPLICATION, GAME CONTENT, OR ANY RELATED INFORMATION OR DATA WILL BE PROVIDED OR MADE AVAILABLE IN A SECURE, CONTINUOUS, ERROR-FREE OR UNINTERRUPTED MANNER, OR (C) ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, AND TGN, ITS AFFILIATES AND THEIR RESPECTIVE SERVICE PROVIDERS, SUPPLIERS AND LICENSORS HEREBY DISCLAIM THE SAME. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OR DISCLAIMERS OF IMPLIED WARRANTIES, SO THE LIMITATIONS AND DISCLAIMERS SET FORTH IN THIS PARAGRAPH MAY NOT APPLY TO YOU. THIS CONTRACT GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.
10. Limitation of Liability.
In no event shall TGN, its affiliates, or their respective directors, officers, employees, agents, service providers, suppliers or licensors be liable for (i) any punitive, exemplary, indirect, special, incidental or consequential damages resulting from your use or inability to use the Service, Client Application or Entertainment Content, including, without limitation, any loss of use or loss of data, or for any claim made against you by any other party, even if TGN has been advised of the possibility of such claims; or (ii) the acts of other users of the Service with whom you may interact through the Service, including any information or data that such other users may transmit through the Service. TGN, its affiliates, and their respective directors, officers, employees, agents, service providers, suppliers and licensors hereby disclaim any fiduciary duty or obligation with respect to any information or data that may be collected through your use of the Service, the Client Application or the Entertainment Content. In no event shall TGN's liability arising from any claim related to the Service or any news or other content provided through the Service, exceed the amount you paid to TGN for the use of the Service during the 12 months immediately preceding the event giving rise to such claim. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortious behavior, negligence, or under any other cause of action.
Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that TGN shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.
It is possible that other registered members or users (including unauthorized users, or "hackers") may post or transmit offensive or obscene materials on the Service and that you may be involuntarily exposed to such offensive and obscene materials. It also is possible for others to obtain personal information about you due to your use of the Service, and that the recipient may use such information to harass or injure you. TGN does not approve of such unauthorized uses but by using the Service you acknowledge and agree that TGN is not responsible for the use by other members or users of any personal information that you disclose on the Service. Please carefully select the type of information that you post or display on the Service.
You are solely responsible for your interactions with other individuals on the Service. TGN reserves the right, but has no obligation, to monitor communications and any disputes between you and other users. If you would like to report conduct you believe is in violation of this Agreement, email
community@gametap.com. Keep in mind that reporting conduct as a violation does not mean it constitutes a violation, or that GameTap must or will take any action against such conduct or the user engaging in such conduct. In the event GameTap does take action against any reported conduct, it has no obligation to inform the person or persons reporting such conduct. Finally, it is a violation of the Agreement to knowingly make a false report against another user, or to use the reporting process to harass or intimidate a user, or to encourage others to do so.
11. Arbitration.
Any and all disputes arising from or relating to this Agreement or the Service shall be solely and finally settled by arbitration. The arbitration will be governed by the Federal Arbitration Act. The arbitration will be conducted at a neutral location convenient to both parties by a single arbitrator to be selected by TGN. The arbitrator's authority shall be limited to resolving individual disputes between you and TGN, and the arbitrator shall not determine, as an initial matter, whether class, mass or consolidated relief is permitted in arbitration. Notwithstanding the foregoing, without first seeking or obtaining any decision in arbitration (even if a similar or related matter has already been referred to arbitration in accordance with the terms of this paragraph), (i) TGN, its affiliates and licensors may bring any claim or suit for the purpose of evidencing, enforcing, registering or defending their intellectual property rights in any court or forum of competent jurisdiction; and (ii) TGN, its affiliates and licensors shall be entitled to seek injunctive and other equitable relief in any court or forum of competent jurisdiction to enforce this Agreement.
12. Amendments.
TGN reserves the right to modify the terms and conditions of this Agreement at any time by posting a revised version of this Agreement at
http://www.gametap.com, or otherwise making it available for your review within the Service. Any modifications to this Agreement, including, but not limited to, any modifications to the warranty disclaimers or limitations of liability contained in this Agreement, will supersede the prior agreement provisions for all activity occurring after the revised version has been made available in the manner described above. Your continued use of the Service after the revised version is made available constitutes your agreement to the revision. If you do not agree with the modifications to this Agreement, you may cancel your membership at any time in accordance with the provisions under the heading "Cancellation of Service."
13. Miscellaneous.
This Agreement, the Terms and Conditions (available at
http://www.gametap.com/terms_and_conditions.html), the End User License Agreement for the Client Application ("EULA"), and any operating rules for the Service established by TGN constitute the entire agreement between you and TGN, provided that: (a) in the event Entertainment Content you may access via the Service has terms and conditions that apply specifically to such Entertainment Content the clause above shall in not be interpreted to render such terms and conditions inapplicable; and (b) if there is any irreconcilable conflict between or among this Agreement, the Terms and Conditions, the EULA, third-party agreements, or the terms and conditions that apply to specific Entertainment Content, this Agreement shall govern with respect to any matter effecting TGN. This Agreement is solely for the benefit of the parties hereto, and TGN's affiliates and licensors, and shall not be for the benefit of others. This Agreement may not be amended or modified other than in the manner described above. If any provision in this Agreement is held to be illegal, invalid or unenforceable, the remaining terms of this Agreement shall remain in full force and effect. This Agreement shall be governed by, construed and enforced in accordance with the laws of the State of Georgia, as it is applied to agreements entered into and to be performed entirely within such State. The United Nations Convention on the International Sale of Goods shall not apply to this Agreement or any transaction contemplated by this Agreement. Any action you, any third party or TGN bring to enforce this Agreement or, in connection with, any matters related to this site shall be brought only in either the state or Federal Courts located in Fulton County, Georgia, and you expressly consent to the jurisdiction of said courts. You may not assign your rights under this Agreement, and any attempted assignment will be void. This Agreement and the rights and obligations under this Agreement may be transferred or assigned by TGN, in whole or in part, and terms and provisions of this Agreement shall inure to the benefit of such transferee or assignee. TGN shall not be deemed to have waived any of its rights under this Agreement absent an express written waiver signed by an authorized representative of TGN. TGN assumes no responsibility or obligation to enforce this Agreement, which enforcement it may undertake, in whole or in part, in its sole discretion.
TGN will electronically log and store your consent to this Agreement, which you agree shall be sufficient to demonstrate your acceptance.
